Mid-Level Corporate Associate
New York, NY | 3–6 Years Experience
Direct Counsel represents a leading national law firm seeking a talented Mid-Level Corporate Associate to join its dynamic Corporate and Emerging Companies practice in New York.
This is an exciting opportunity for a corporate attorney to work with founders, entrepreneurs, venture capital and private equity funds, strategic investors, and high-growth companies on sophisticated transactions from formation through growth and exit.
The Role- Advise emerging and established companies on corporate and transactional matters.
- Lead and support venture capital financings , including SAFEs, venture debt, NVCA-style financings, secondaries, and strategic investments.
- Handle M&A, private equity, capital markets, corporate finance, joint ventures, and divestitures .
- Advise clients on securities law compliance, corporate formations, governance, and general corporate matters.
- Guide companies through financing rounds and complex M&A and commercial transactions.
- Work directly with founders, executives, investors, and senior attorneys.
- Independently manage significant portions of transactions and coordinate deal teams and subject matter specialists.
- Develop client relationships and participate in business development initiatives.
- 3–6 years of corporate transactional experience , preferably at an AmLaw 100 firm.
- Strong experience with venture capital financing and emerging companies .
- Experience with M&A, private equity, securities, corporate finance, and governance matters.
- Experience working with startups, growth-stage companies, founders, VC/PE funds, or strategic investors preferred.
- Strong drafting, negotiation, analytical, and client-management skills.
- Demonstrated ability to manage transactions and coordinate deal teams.
- Superior academic credentials and excellent legal writing skills.
- J.D. and active New York Bar admission required.
- $230,000–$270,000 annual salary , depending on experience and qualifications.
