A healthcare private equity firm is looking for a Partner & Chief Legal Officer to join its team. This position can be located in Seattle or New York City. The role reports directly to the Managing Partners. Duties include providing legal counsel to the management company, GP entities, and fund structures; liaising with internal firm leadership and outside counsel; developing compliance programs; supporting fund formation and investor relations; providing legal assistance to the firm’s investment professional teams (platform acquisitions, add-ons, and exits); and overseeing healthcare regulations and compliance. Qualifications: J.D. from a top-tier law school and bar member in good standing. 12-15 years of applicable experience, including General Counsel experience at a private equity or venture capital firm . Experience with SEC/Advisers Act, fund structuring, GP and management company governance, capital structure and finance fluency. Experience overseeing structuring, diligence, negotiation, and execution on platform acquisitions and financings. Experience advising Managing Partners and senior partners. Comfortable providing hard advice and managing sensitive conversations. Communicate in solution-oriented business terms. Experience building or scaling an internal legal function. Ability to effectively communicate to Boards, ICs, and firm-wide leadership.
