Chicago Office - Investment Funds Mid-Level Associate (Chicago)

Job Overview

Winston Taylor is looking for an associate with 4–6 years of significant experience in private equity fund formation and related matters. The ideal candidate has experience (preferably at a large law firm or, in special circumstances, an in‑house setting) assisting private equity fund sponsors on fund formation matters, including the preparation and negotiation of fund private placement memoranda, partnership agreements, and related ancillary agreements; reviewing fund documentation on behalf of institutional investors and negotiating fund terms; and structuring and drafting governing documents pertaining to private equity fund management companies and general partners. The candidate must have a working knowledge of relevant securities rules and regulations, including the Investment Advisers Act. Experience with private equity secondary transactions and/or GP‑led restructurings is also helpful. Candidates will be considered for Chicago, Charlotte, or NewYork offices, with other offices also considered. All candidates must be admitted to the state bar of their office location.

Qualifications

• 4–6 years of significant experience in private equity fund formation.
• Experience assisting private equity fund sponsors with fund formation matters.
• Experience reviewing fund documentation and negotiating fund terms for institutional investors.
• Experience structuring and drafting governing documents for private equity fund management companies and general partners.
• Knowledge of relevant securities rules and regulations, including the Investment Advisers Act.
• Experience with private equity secondary transactions and/or GP‑led restructurings is desirable.
• Admission to the state bar at the office location.
