Finance Associate Attorney – Mid to Senior Level

Direct Counsel is seeking a mid- to senior-level Finance Associate Attorney to join a premier global law firm's sophisticated Finance Practice . This position is available in Los Angeles, California or Palo Alto, California and is ideal for an attorney with broad finance experience and strong transactional drafting and negotiation skills.

The ideal candidate will have 5–8 years of general finance experience , including experience with commitment papers, security agreements, credit agreements, and other loan documentation, along with UCC matters and general corporate work. Experience with data center or digital infrastructure transactions is a plus.

Responsibilities

• Represent lenders, borrowers, and other sophisticated clients in complex financing transactions.

• Draft and negotiate commitment papers, security agreements, credit agreements, and other loan and financing documents.

• Advise clients on secured lending and general finance matters.

• Handle UCC-related matters and related financing issues.

• Provide general corporate support in connection with financing transactions.

• Work closely with clients, opposing counsel, and internal deal teams to structure and execute transactions.

• Manage multiple sophisticated matters while maintaining strong attention to detail and client service.

• Collaborate with attorneys across practice groups on complex transactions.

Qualifications

• 5–8 years of general finance experience at a sophisticated law firm.

• Experience drafting and negotiating:

  • Commitment papers

  • Security agreements

  • Credit agreements

  • Other loan and financing documents

• UCC experience.

• General corporate experience.

• Experience with data center or digital infrastructure transactions is a plus .

• High level of academic achievement preferred.

• Peer firm experience preferred.

• Excellent drafting, analytical, negotiation, and communication skills.

• Strong attention to detail and ability to manage complex transactions.

• Ability to work effectively both independently and as part of a collaborative team.

Compensation

Salary Range: $310,000–$420,000 annually, depending on skills, experience, and other job-related factors.

The position may also be eligible for a discretionary year-end bonus.
