Mid-Level Mergers & Acquisitions Associate Attorney
Direct Counsel is seeking a Mid-Level Mergers & Acquisitions Associate Attorney to join a prestigious Am Law firm in Los Angeles.
This is an exceptional opportunity for an attorney with 2-5 years of corporate transactional experience to join a sophisticated Corporate practice with a focus on mergers and acquisitions. The team represents public and private companies, private equity sponsors, family offices, and high-net-worth individuals in complex domestic and cross-border transactions across a wide range of industries.
ResponsibilitiesRepresent buyers, sellers, investors, and other stakeholders in mergers, acquisitions, dispositions, minority investments, and other strategic transactions.
Conduct legal due diligence and assist with transaction structuring and execution.
Draft and negotiate purchase agreements, ancillary transaction documents, disclosure schedules, and related corporate documents.
Coordinate deal management from initial negotiations through closing.
Advise clients on corporate governance, fiduciary duties, and transactional risk management.
Assist with securities law and regulatory issues arising in connection with corporate transactions.
Work directly with clients and senior attorneys while managing multiple sophisticated transactions.
Collaborate with lean deal teams in a fast-paced, entrepreneurial environment.
J.D. from an ABA-accredited law school.
Active membership in the California Bar, or eligibility and intent to obtain admission promptly.
2-5 years of corporate transactional experience at a major law firm.
Experience handling mergers and acquisitions, acquisitions, dispositions, minority investments, and other complex corporate transactions.
Strong experience with due diligence, drafting transaction documents, and managing deal execution.
Excellent analytical, drafting, negotiation, and communication skills.
Outstanding academic credentials and strong references.
Entrepreneurial mindset with the ability to assume significant responsibility and work effectively both independently and collaboratively.
Salary: $225,000-$435,000, commensurate with class year, experience, and qualifications.
Comprehensive compensation and benefits package, including competitive associate compensation and benefits consistent with a leading Am Law firm.
