Mid-Level Mergers & Acquisitions Associate Attorney

Direct Counsel is seeking a Mid-Level Mergers & Acquisitions Associate Attorney to join a prestigious Am Law firm in Los Angeles.

This is an exceptional opportunity for an attorney with 2-5 years of corporate transactional experience to join a sophisticated Corporate practice with a focus on mergers and acquisitions. The team represents public and private companies, private equity sponsors, family offices, and high-net-worth individuals in complex domestic and cross-border transactions across a wide range of industries.

Responsibilities

• Represent buyers, sellers, investors, and other stakeholders in mergers, acquisitions, dispositions, minority investments, and other strategic transactions.

• Conduct legal due diligence and assist with transaction structuring and execution.

• Draft and negotiate purchase agreements, ancillary transaction documents, disclosure schedules, and related corporate documents.

• Coordinate deal management from initial negotiations through closing.

• Advise clients on corporate governance, fiduciary duties, and transactional risk management.

• Assist with securities law and regulatory issues arising in connection with corporate transactions.

• Work directly with clients and senior attorneys while managing multiple sophisticated transactions.

• Collaborate with lean deal teams in a fast-paced, entrepreneurial environment.

Qualifications

• J.D. from an ABA-accredited law school.

• Active membership in the California Bar, or eligibility and intent to obtain admission promptly.

• 2-5 years of corporate transactional experience at a major law firm.

• Experience handling mergers and acquisitions, acquisitions, dispositions, minority investments, and other complex corporate transactions.

• Strong experience with due diligence, drafting transaction documents, and managing deal execution.

• Excellent analytical, drafting, negotiation, and communication skills.

• Outstanding academic credentials and strong references.

• Entrepreneurial mindset with the ability to assume significant responsibility and work effectively both independently and collaboratively.

Compensation & Benefits

• Salary: $225,000-$435,000, commensurate with class year, experience, and qualifications.

• Comprehensive compensation and benefits package, including competitive associate compensation and benefits consistent with a leading Am Law firm.
