What You'll Be Doing Advise on M&A and complex corporate transactions Support major business transformation initiatives , including integrations, separations, spinoffs, and operating model changes Handle legal due diligence and identify key transactional risks Advise on corporate governance matters Draft, review, and negotiate commercial agreements Work closely with attorneys and business stakeholders to develop practical, business-focused legal solutions Help clients navigate the legal and business considerations that arise during significant organizational change What We're Looking For 3+ years of attorney experience Strong experience in M&A and corporate transactions Experience with corporate governance, commercial contracting, and legal due diligence Exposure to business transformations, integrations, separations, spinoffs, reorganizations, or operating model changes is a strong plus Excellent analytical, drafting, communication, and client-service skills Current or recent AmLaw experience is required Based in or commutable to Chicago, IL Must be a member of the Illinois bar, in good standing The Opportunity If you're a corporate attorney who enjoys sophisticated transactions and wants to be involved in the bigger business picture, this could be an opportunity worth exploring.
