Executive Compensation Associate - Corporate

Direct Counsel is seeking an Executive Compensation Associate with 4-6 years of experience to join a nationally recognized Executive Compensation practice. This is an exceptional opportunity to advise leading technology companies, life sciences companies, and Fortune 500 businesses on sophisticated executive compensation, equity compensation, securities, tax, and transactional matters.
The practice works closely with public companies, emerging growth companies, and private equity-backed businesses on complex compensation issues and plays a significant role in high-profile mergers and acquisitions and capital markets transactions.

- Advise public and private companies on executive compensation and equity incentive matters
- Support mergers and acquisitions, financings, IPOs, and other strategic corporate transactions
- Counsel clients on compensation-related securities law and tax issues
- Draft, review, and negotiate executive employment agreements, equity award agreements, and incentive compensation arrangements
- Advise on public company reporting and disclosure obligations relating to executive compensation
- Analyze and advise on compensation issues arising under applicable tax and securities laws
- Collaborate closely with corporate, M&A, capital markets, tax, and employment attorneys on complex transactions
- 4-6 years of executive compensation experience
- Strong background advising on executive compensation, equity compensation, and employee incentive arrangements
- Experience supporting mergers and acquisitions and capital markets transactions
- Working knowledge of:
- Internal Revenue Code Sections 409A, 280G, 83, and 421-424
- Securities laws governing employee incentive and equity compensation plans
- Strong tax and securities law experience
- Superior academic credentials
- Excellent oral, written, analytical, and interpersonal skills
- Admission in the applicable jurisdiction required
- Base salary range: $310,000 - $390,000
