Delaware Corporate Attorney
We are seeking an experienced Delaware Corporate Attorney to join our team in a fully remote capacity. This opportunity is ideal for a senior attorney with a strong client following who wants the freedom to focus on client relationships and complex corporate matters, without the constraints of billable-hour requirements. Key Responsibilities:

Advise clients on corporate and transactional matters governed by the Delaware General Corporation Law (DGCL) and Delaware Limited Liability Company Act.
Draft, review, and negotiate governance documents, merger and acquisition agreements, stock purchase agreements, and other corporate contracts.
Counsel clients on entity formation, fiduciary duties, board governance, shareholder rights, and compliance issues.
Support complex transactions including M&A, private equity, and venture capital deals.
Advise on corporate restructurings, dissolutions, and special committee matters.
Manage and expand existing client relationships while pursuing new business opportunities.
Collaborate seamlessly with colleagues across practice areas and jurisdictions.
Qualifications:

J.D. from an accredited law school.
Active Delaware Bar membership required.
Minimum of 8 years of corporate or transactional law experience.
Portable book of business required.
Experience with an AmLaw 200 firm preferred.
Demonstrated success managing complex corporate matters and client portfolios.
Strong communication, drafting, and negotiation skills.
