Position Summary The Corporate Paralegal will provide comprehensive legal administrative support across functions at Springdale and build our legal operations infrastructure from scratch. This position requires a detail-oriented individual who can effectively manage processes and legal organization, and ensure compliance with regulatory requirements. A successful candidate will facilitate the seamless execution of legal tasks, from setting up data rooms and managing entity formations, filings, and lien searches to conducting research, managing license/permit requirements, and tracking legal documents and workstream statuses in our tracking system. Additionally, this individual will build trackers, workflows, and systems that scale, using AI tools to amplify their output and systematize recurring work. This role will own the legal operations infrastructure that keeps Springdale and its platform businesses legally organized and compliant, and offers a meaningful opportunity to contribute to Springdale’s growth and success. Key Responsibilities Legal Document Organization & Corporate Maintenance Maintain organized, searchable repositories for contracts, agreements, entity documents, and corporate records across Springdale and its portfolio companies Track and maintain entity formation and governance documents; manage Registered Agent platform; handle annual reports and Delaware LLC franchise tax filings Oversee cap table maintenance across multiple entities; support LLC maintenance and board administration Manage profits interest and incentive plan documentation, including 83(b) election filings and audit trails Research and interpret LLC Operating Agreements to prepare amendments, consents, and changes Compliance, Permits & Insurance Research and track business licenses, contractor licenses, and operating permits across jurisdictions for Springdale’s portfolio companies Monitor renewal deadlines and proactively flag upcoming expirations to relevant stakeholders Manage certificates of insurance (COIs), including collection and tracking across vendors and partners Research permit and licensing requirements when portfolio companies expand to new geographies or service lines Transaction & Diligence Support Support transaction-related workstreams including lien searches, background check coordination, payoff letters, lien terminations, and legal org chart maintenance Manage real estate lease portfolio abstracts and key date tracking Interface with third-party counsel on transactions, filings, and corporate matters Manage subpoena responses and track legal deadlines Systems Building & Process Improvement Build and maintain compliance calendars, renewal trackers, and legal workflow systems that scale across the portfolio Leverage AI tools to reduce manual effort on recurring legal and compliance tasks; bring a builder’s mindset to every repeatable process Develop and document standard operating procedures for core legal and compliance workflows Identify opportunities to systematize and automate, and proactively implement improvements Position Requirements Required Strong document management instincts: naming conventions, version control, and organized systems Knowledge of corporate structure and ability to interpret LLC operating agreements Ability to work independently and collaboratively in a fast-paced environment; comfort standing up new processes in an ambiguous setting Exceptional attention to detail, accuracy in record-keeping, organizational skills, and ability to manage multiple projects simultaneously while maintaining data entry precision. Understanding of the "rules of service" and how to organize responsive documents.
