Real Estate Associate

Location: New York, NY Schedule: Full-Time, In-Office Overview Our client, a well-established and nationally active New York law firm, is seeking a Real Estate Associate to work directly with a leading New York real estate attorney on sophisticated borrower-side commercial real estate finance transactions , acquisitions, sales, leasing, and related matters. This role is ideal for an attorney with law firm experience representing borrowers , particularly in connection with CMBS and institutional financing transactions , who is looking for significant responsibility, direct client interaction, and mentorship from a highly respected real estate dealmaker. The successful candidate will gain exposure to complex transactions involving developers, owners, sponsors, investment groups, and real estate entrepreneurs throughout New York and nationally. Key Responsibilities Commercial Real Estate Finance (Primary Focus) Draft, review, negotiate, and manage documentation relating to: CMBS, balance sheet, and institutional mortgage financings Acquisition, construction, project, and mezzanine loans Loan agreements and related financing documents Cash Management Agreements Deposit Account Control Agreements (DACAs) Guarantees and indemnity agreements Operating agreements and ownership structures Joint venture agreements and complex capital arrangements Loan workout, restructuring, and recapitalization transactions Purchase and sale agreements for commercial real estate assets Leasing & Ownership Matters Draft and negotiate commercial office, retail, and industrial leases Assist with acquisitions, dispositions, and refinancing transactions Support clients in connection with ownership structuring and real estate operations Deal Management Manage transactions from initial term sheet through closing, including: Coordinating lenders, borrowers, title companies, brokers, consultants, and counterparties Reviewing title, survey, zoning, organizational, environmental, and diligence materials Preparing closing checklists and closing documentation Managing post-closing matters and transaction organization Assist with real‑estate‑related disputes when needed, including: Foreclosure matters Legal research and motion drafting Qualifications (Required) 2-6 years of real estate transactional experience at a law firm Meaningful experience representing borrowers (not primarily lenders) in commercial real estate transactions Experience with CMBS and institutional real estate financings Strong drafting and negotiation skills Experience with: Loan Agreements Cash Management Agreements DACAs Indemnification Agreements Operating Agreements Joint Venture Documents Familiarity with sophisticated commercial real estate transactions and financing structures Excellent organizational, analytical, and communication skills Qualifications (Preferred) Experience with acquisitions and dispositions Commercial leasing experience Exposure to mezzanine financing and complex capital stacks Who Thrives in This Role Successful candidates are: Deal-oriented and business-minded Comfortable handling client contact and transaction responsibility early Interested in sophisticated borrower-side finance work Able to manage multiple active transactions simultaneously Motivated by mentorship from a highly experienced real estate practitioner Energized by complex negotiations and high-value transactions Why This Opportunity Stands Out Direct mentorship from a respected New York real estate attorney with more than 30 years of transactional experience Significant exposure to borrower-side CMBS, institutional lending, and sophisticated finance transactions Meaningful responsibility and client interaction from day one Opportunity to work closely with developers, sponsors, investors, and real estate entrepreneurs Broad transactional practice that combines finance, acquisitions, leasing, and ownership structuring Collaborative environment focused on developing well-rounded commercial real estate attorneys #J-18808-Ljbffr SR Staffing
