Job Description:
Reporting directly to our General Counsel, the Corporate Paralegal will become a key member of a growing legal team that supports AIR and its 60+ operating affiliates. In this role, you will assist with a wide range of legal and compliance matters including corporate governance, entity formation and maintenance, contract drafting and negotiation, and other legal initiatives across the AIR platform. We are looking for an exceptional candidate with strong organizational and time-management skills and an ability to drive projects to completion in a rapidly growing, acquisition-driven organization.

Essential Duties and Responsibilities:
Entity Management

• Support the lifecycle of AIR's domestic and international subsidiaries, including formations, dissolutions, mergers, and restructuring, in partnership with other departments and outside counsel.
• Maintain good standing for all entities, including annual reports, foreign qualifications, assumed name filings, registered agent appointments, and similar local requirements.

Company Records & Governance

• Maintain company records for AIR and its affiliates, including formation documents, governing documents, ownership information, and officer and director records.
• Prepare initial drafts of written consents, incumbency certificates, and other routine governance documents.
• Support management of the master organizational chart, including implementing updates to reflect acquisitions, formations, and restructuring activities.

Mergers & Acquisitions Integration

• Assist with post-closing legal integration, including entity filings, licensing transfers, updates to standard contracts, and related matters.
• Track post-closing obligations and outstanding transaction items.

Contracts and Commercial Matters

• Draft, review, revise, and negotiate routine commercial contracts, including nondisclosure agreements, purchase agreements, and terms and conditions of sale, under attorney supervision.
• Help ensure contracts are reviewed and executed in accordance with AIR's delegation-of-authority requirements.
• Promptly handle requests for organizational documents, insurance information, licenses, certificates, and other materials required for commercial transactions.

Claims and Employment Matters

• Coordinate incoming service of process and other legal notices, ensuring prompt delivery to the General Counsel and/or appropriate operating company.
• Assist with preparing and reviewing employment-related agreements, including offer letters, separation agreements, and similar documents, in coordination with Human Resources.
• Coordinate litigation holds and the identification, preservation, collection, organization, and production of relevant documents.

Legal Operations and Compliance

• Review and coordinate outside-counsel invoices and assist with monitoring legal spending against budgets.
• Develop practical tools, checklists, and processes that improve the consistency and efficiency of legal support across AIR.

General Collaboration

• Work with Human Resources, Finance and Accounting, and other stakeholders to support strategic initiatives.
• Assist with special projects related to AIR's continued growth, international expansion, and acquisition strategy.

Experience and Requirements:
Required:

• Bachelor's degree or equivalent combination of education and relevant experience.
• Minimum of 5 years of paralegal experience; in-house experience preferred
• Demonstrated experience supporting or managing a large or complex portfolio of entities, corporate records, governance actions, and recurring compliance obligations.
• Experience drafting and negotiating routine commercial agreements.
• Working knowledge of parent and subsidiary structures, formation and foreign registration requirements, and customary entity governance filings and documents.
• Demonstrated discretion when handling attorney-client privileged, confidential, employee, and transaction-related information.
• Ability to work effectively with executives, functional leaders, operating companies, outside counsel, and acquisition partners.

Preferred:

• Paralegal certificate from an ABA-approved program or other recognized paralegal credential.
• Experience with international entity governance, KYC/AML, beneficial ownership, and UBO requirements.
• Experience supporting an acquisitive, private equity-backed organization or comparably complex multinational structure.
• Experience developing governance controls, process maps, playbooks, or automation or entity-management workflows.
• Experience with entity management and registered agent platforms.
