Transactional Attorney

SHER Legal Solutions is recruiting a Corporate Transactions Attorney for an established Connecticut law firm. This growth opportunity is ideal for an attorney with at least 3 years of corporate transactional and M&A experience who is ready to handle substantive transactions and work directly with clients. Responsibilities include: Draft, review, and negotiate purchase agreements, operating agreements, shareholder agreements, commercial contracts, and other transactional documents. Manage and support M&A transactions from due diligence through closing and post-closing matters. Conduct due diligence and prepare summaries and disclosure schedules. Advise clients on corporate governance, entity formation, restructuring, and general business matters. Coordinate transaction closings and communicate directly with clients, opposing counsel, and third-party advisors. Qualifications: J.D. from an accredited law school. Active Bar admission in any U.S. jurisdiction; Connecticut admission preferred or willingness to waive into Connecticut. 3+ years of corporate transactional experience. Strong M&A, contract drafting, review, and negotiation experience. Excellent analytical, organizational, communication, and client service skills. Ability to work independently and collaboratively. UCC filing, private fund, and IPO experience are a plus but not required.
