Corporate Paralegal - Contracts

Job Overview: This position is responsible for supporting the legal department and staff attorneys related to all corporate legal matters. Areas of responsibility include evaluating legal/contractual documents for compliance with terms and conditions, legal correspondence with our customers, legal evaluations, litigation, and monitoring sensitive risk/financial related data for trending. This position reports to the VP Legal Services. Duties and responsibilities: Support corporate attorneys in reviewing, negotiating and drafting i) service agreements ; ii) vendor agreements ; iii) real estate agreements ; and iv) other cash management agreements. Responsible for ensuring contract terms and conditions meet the company’s contracting requirements Frequent interaction with internal and external stakeholders, including customers, vendors, landlords, and others along with external counsel Routing legal notices and correspondence to the appropriate internal departments Limited contract review, revision and redlining (depending on experience) Performing document and contract management Processing contract amendments Litigation support Supporting negotiation of Non-Disclosure Agreements Responding to various legal requests from sales teams Support research regarding legal contracting and contract management tools Responding to internal requests for contractual templates Assist with contract dispute tracking and analysis Compliance Supporting review and processing of legal invoices Supporting with departmental project audits Auditing petty cash (receipting process) Licensing issues Other duties as assigned. Skills and responsibilities: College degree with paralegal experience in handling corporate legal work, including real estate, contract negotiation, litigation, employment preferred Minimum of five years paralegal or contracts manager experience required Experience in either transportation or financial services industries a plus Excellent technical skills to include Word, Excel and PowerPoint required Experience in an environment that requires multi-tasking and strong organizational skills Proven written and oral communication skills #J-18808-Ljbffr The Emery Company, LLC
