Corporate Paralegal

Job Summary We are seeking a detail-oriented Corporate Paralegal for a temp-to-hire opportunity in Century City, CA. This role is ideal for a legal professional with corporate, transactional, financing, securities, and M&A support experience who enjoys sophisticated legal work in a fast-paced legal services environment. The Corporate Paralegal will support attorneys and client matters involving entity management, corporate governance, compliance filings, venture capital and private equity financings, and transactional closings. Key Responsibilities Support corporate and transactional legal teams with entity formations, governance documentation, compliance filings, and ongoing corporate maintenance. Prepare and manage board and stockholder consents, corporate records, transaction documents, signature packets, and executed closing materials. Assist with venture capital, private equity, and financing transactions, including diligence, closing coordination, SEC Form ID, Form D, blue sky filings, and UCC-1/UCC-3 filings. Support buyer-side and seller-side M&A transactions, including due diligence, closing mechanics, DocuSign signature packets, exhibits, and post-closing documentation. Prepare and submit IRS SS-4 EIN applications and assist with state formation and ongoing compliance filings. Help maintain capitalization tables and support equity issuances, equity plans, and related corporate records. Required Qualifications and Skills Support entity formations, corporate governance, compliance filings, and corporate maintenance. Assist with venture capital, private equity, financing, and M&A transaction documentation. Manage diligence materials, closing checklists, signature packets, executed documents, and post-closing filings. Coordinate with attorneys, clients, and external parties to keep legal matters moving accurately and on deadline. At least 2 years of recent, continuous experience as a corporate or transactional paralegal or corporate legal secretary. Experience with California, Delaware, and Nevada business entities, including corporations and LLCs. Knowledge of entity formation, corporate governance, state compliance filings, and IRS SS-4 EIN applications. Hands-on experience with financings, securities-related filings, SEC Form ID, Form D, blue sky filings, and UCC-1/UCC-3 filings. Experience supporting M&A transactions, due diligence, closing mechanics, DocuSign signature packets, and executed closing sets. Ability to prepare board and stockholder consents, transaction documents, and corporate records with strong accuracy. Some experience maintaining capitalization tables and supporting equity issuances or equity plans. Strong organizational skills with the ability to manage multiple matters, competing deadlines, and detailed legal documentation. Professional written and verbal communication skills with the ability to work effectively with attorneys, clients, and outside parties. Preferred Qualifications 3 to 5 years of corporate, transactional, or securities paralegal experience. Prior experience in a law firm environment. Experience supporting seed through later-stage financing rounds. Familiarity with corporate legal technology, electronic closing tools, and document management systems.
