About the Role

The Company is seeking an Associate General Counsel, Corporate to join their legal team. The successful candidate will be a key player in managing the company's corporate legal matters, governance framework, and strategic initiatives. This role involves supporting the company's transition to public-company standards, providing legal guidance on corporate transactions, and ensuring compliance with securities regulations. The ideal candidate will have a Juris Doctor (J.D.) from an accredited law school, be licensed to practice law in at least one U.S. jurisdiction, and have 8-12+ years of relevant legal experience, with a strong preference for those with corporate and securities law experience at a top law firm and in-house experience at a technology company. Key responsibilities for the Associate General Counsel, Corporate include supporting Board of Directors and committee governance, maintaining corporate records, and overseeing entity management. The role also involves assisting with the development of disclosure controls and procedures, preparing and reviewing public company filings, and coordinating with external counsel on securities law compliance. The ideal candidate will be a practical, business-oriented legal advisor, a strong communicator, and a collaborative partner across various teams. They should be highly organized, with strong judgment and attention to detail, and able to manage multiple priorities in a fast-paced growth environment. Experience in strategic transactions, commercial agreements, and internal compliance policies is also required.
