BasePoint Group Inc. (the “Company” or “BasePoint”) is a leading provider of secured asset-based wholesale financing facilities to US based specialty finance companies and a buyer of short-term commercial receivables. The company operates through two distinct verticals – BasePoint Capital LLC (“BPC”) and BasePoint Advisors LLC (“BPA”). Founded in 2009, BasePoint Capital is the Company’s specialty finance arm and provides specialty finance lenders with asset-based financing facilities. In addition, BasePoint Capital also engages in whole loan acquisitions and special opportunities. BasePoint Advisors LLC formed in November 2021. With more than six funds today, it manages more than $3 billion in our pooled investment vehicles, including our flagship evergreen fund. The Company’s compliance team administers the compliance program for these two distinct businesses and all related sales activities. BasePoint’s team of professionals has extensive expertise in asset-based lending, whole loan sales, servicing, investment advisory, and securitization transactions. The team possesses a common risk management approach given its institutional backgrounds from Morgan Stanley, UBS, JP Morgan, Nomura and GE Capital. Position Overview Our legal department seeks to add a senior attorney to its growing ranks. We are seeking an experienced attorney with 10+ years of legal experience, ideally a combination of law firm and in-house experience with a registered investment adviser, to join our legal department. This is an excellent opportunity for a seasoned practitioner to take ownership of complex transactional, governance, and regulatory matters across our lending and asset management businesses. In this role, you will manage a broad range of corporate and transactional matters, with a focus on mergers, acquisitions, and equity transactions, portfolio company governance and management, and investment adviser work for our private credit funds. You will help structure and close M&A, equity, and financing transactions; advise on the formation, governance, and ongoing oversight of portfolio companies and pooled investment vehicles; and support the regulatory and compliance program for our SEC-registered adviser. You will also handle a variety of commercial agreements, including NDAs, engagement letters, service agreements, statements of work (SOWs), and vendor contracts. You will work closely with internal legal, business, and operational teams, and report to the General Counsel. Job Responsibilities Support our Transaction Management team of internal investment bankers to structure, negotiate, and close mergers and acquisitions and other strategic transactions, including acquisitions, joint ventures, and whole loan and portfolio acquisitions Advise on portfolio company governance and management, including entity formation and maintenance, board and equity matters, and ongoing corporate oversight Provide investment adviser and fund counsel to our SEC-registered adviser and its private funds, including fund formation, governance, and ongoing regulatory compliance Review, revise, and negotiate a range of commercial agreements, including: Non-disclosure agreements (NDAs) Engagement letters Service agreements Vendor agreements Statements of Work (SOWs) Lead negotiations and contract revisions in collaboration with business stakeholders Conduct and manage legal due diligence for transactions and prepare internal guidance as needed Collaborate with cross-functional teams (Legal, Finance, Compliance, Operations) to ensure contracts align with business goals and risk tolerance Manage outside counsel and lead special projects and ad hoc legal matters as they arise Develop and maintain contract templates, governance documentation, and related processes Qualifications JD from an accredited U.S. law school and active bar membership in good standing 10+ years of legal experience, ideally a combination of law firm and in-house experience with a registered investment adviser Core M&A and equity transactional experience Experience advising on portfolio company governance and management Experience with private equity or private credit funds and their investment adviser Experience with asset-based finance is a strong plus Strong command of securities law, corporate governance, and transactional and investment adviser legal principles, with sound legal risk analysis Excellent writing, editing, and communication skills Strong organizational skills with attention to detail A collaborative attitude and a strong sense of accountability and ownership Comfortable working in a fast-paced environment and managing multiple priorities A track record of independently managing complex transactional and governance matters with limited supervision On-site #J-18808-Ljbffr
