Job Overview Job Overview A law firm seeks a seasoned Capital Markets Senior Associate in New York City, NY. The ideal candidate will manage complex transactions and provide strategic advice on U.S. securities laws, requiring a deep understanding of regulatory frameworks and a commitment to delivering innovative solutions. Duties Lead the execution of capital market transactions including IPOs, bond offerings, and private placements. Advise clients on securities transactions, regulatory compliance, and corporate governance issues. Draft and negotiate complex legal documents such as underwriting agreements, purchase agreements, and registration statements. Coordinate with multiple stakeholders including clients, investment bankers, and regulatory bodies. Mentor and supervise junior associates and support staff. Contribute to the firm's thought leadership through publications and speaking engagements. Requirements Juris Doctor (JD) degree from an accredited law school. Active membership in good standing with a U.S. State Bar. Minimum of 5 years of relevant experience in capital markets in a law firm setting. Strong expertise in securities law and experience with SEC filings and compliance. Exceptional analytical, negotiation, and communication skills. Proven ability to manage multiple projects in a fast-paced environment. Detail-oriented with a proactive approach to problem-solving. Education Juris Doctor (JD) degree from an accredited law school. Certifications Active membership in good standing with a U.S. State Bar. Skills Strong expertise in securities law. Experience with SEC filings and compliance. Exceptional analytical, negotiation, and communication skills. Proven ability to manage multiple projects in a fast-paced environment. Detail-oriented with a proactive approach to problem-solving.
