This firm is known for their high level of dedication to implementing cutting edge technology, and providing employees with excellent tools and resources to operate at a high level.Job DescriptionAssist with drafting, reviewing, and filing legal documents related to corporate transactions. Conduct legal research and summarize findings for attorneys. Oversee IPO transaction tasks, including draft checklists, attend due diligence meetings, proofread legal documents and coordinate site visits. Prepare deal documents, including disclosures, exhibits, SEC filings, questionnaires, financing statements, cusip number applications, purchase agreements and merger agreements. Support corporate governance activities, including maintaining corporate records and preparing board materials. Coordinate and manage document submissions to regulatory bodies as needed. Collaborate with legal and business teams to ensure compliance with legal and regulatory requirements. Maintain and organize files, ensuring accurate and accessible record-keeping. Assist with due diligence for corporate transactions and other legal projects. Strong research skills; utilizing legal research software Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, ShareWorks, Carta, etc. Experience in IPO and public company matters strongly preferred Excellent organizational and time management skills. Attention to detail and ability to manage multiple tasks simultaneously.
