Reports To: Chief Financial Officer About the Role We are seeking an executive-level Head of Capital Markets with 20+ years of experience across investment banking and finance roles inside high-growth tech company to lead our capital strategy, equity and debt financing, and pre-IPO readiness. You will be instrumental in positioning the company for its public offering while building out global investor relationships and leading our cross-border financial strategy. Key Responsibilities Pre-IPO Execution & IPO Readiness: Oversee end-to-end execution preparation for a public listing in Silicon Valley, including S-1 registration, SEC compliance, banking syndicate selection, equity story development, and IPO process management. Fundraising & Equity Capital: Lead private capital raises, growth rounds, and strategic equity transactions. Drive pitch creation, valuation models, investor target lists, and term sheet negotiations. Debt Financing & Structured Products: Evaluate, negotiate, and execute complex debt instruments (venture debt, credit facilities, equipment/GPU financing) to optimize capital structure and lower cost of capital. Strategic Financial Planning: Partner with executive leadership and the board to define long-term capital allocation strategies, capital efficiency frameworks, and liquidity roadmaps. Global Investor Relations: Cultivate and maintain relationships with top-tier institutional investors, venture capitalists, sovereign wealth funds, investment banks, and lenders worldwide. International Team Leadership: Direct and mentor a cross-border capital strategy team across APAC and US. Required Qualifications 20+ years of finance experience , starting in investment banking (IBD) at a top-tier firm and progressing to senior corporate finance or capital market leadership roles inside high-growth tech companies. Proven Silicon Valley IPO Track Record: Demonstrated experience leading a tech company through a successful Silicon Valley / U.S. IPO execution cycle from pre-filing through listing. Deep Financing Toolkit: Mastery of both equity fundraising (Series C+ through pre-IPO) and sophisticated debt financing structures. Global Leadership: Proven track record of leading, structuring, and scaling international teams. Execution Rigor: Exceptional expertise in financial modeling, deal mechanics, legal docs, SEC filings, and cross-functional project management.
