Mid-Level Transactional Tax Associate Attorney (M&A / Private Equity)Oxford Solutions is working with a law firm client seeking a Mid-Level Tax Associate Attorney to join its transactional tax practice. This is a direct hire, onsite opportunity with flexibility to work from offices located in Pittsburgh, PA; Charlotte, NC; or New York, NY.This role is ideal for an attorney with 3 to 5 years of experience in a large law firm or highly regarded tax practice who focuses on the tax structuring of complex business transactions. The position centers on transactional tax matters rather than tax controversy or litigation.Responsibilities:Advise clients on the tax aspects of mergers, acquisitions, private equity transactions, and financing arrangementsDraft, review, and negotiate tax provisions in merger agreements, stock purchase agreements, asset purchase agreements, and related transaction documentsStructure and analyze partnership, joint venture, and limited liability company agreementsProvide guidance on tax considerations related to equity and debt financing transactionsSupport deal teams and independently manage discrete components of sophisticated transactionsCollaborate with corporate attorneys and client stakeholders to ensure tax-efficient deal executionQualifications:3 to 5 years of transactional tax experience within a law firm environmentStrong background in M&A, private equity, and financing transactionsDemonstrated experience drafting and negotiating tax provisions in complex agreementsAbility to independently manage portions of deals with minimal supervisionLL.M. in Taxation preferredAdmission to the bar in the state of the office location (or ability to obtain admission)
