M&A Corporate & Securities Attorney

Apply M&A, corporate governance, and securities law expertise to help improve the legal reasoning and analytical capabilities of AI-assisted legal tools. This remote contract role centers on reviewing realistic deal materials, evaluating AI-generated analysis, and providing clear, practice-grounded legal feedback. Prior AI experience is not required. Key Responsibilities
- Review and assess realistic M&A transaction scenarios, due diligence materials, and contract documents.
- Apply professional judgment to corporate, governance, and securities matters, identifying material issues and distinguishing significant legal risks.
- Provide clear, structured written feedback that strengthens AI systems'' legal reasoning and analysis.
- Evaluate the accuracy and relevance of AI-generated outputs against market and legal practice standards.
- Identify and explain inconsistencies across corporate records, charters, board consents, and financing documents.
- Provide subject matter guidance on M&A deal processes, transaction analysis, and legal risk assessment.
- At least 5 years of experience in M&A, corporate, or venture and securities matters at a law firm, corporate development team, or investment fund.
- JD and active bar membership, or an equivalent legal qualification in your jurisdiction.
- Experience using virtual data rooms, such as Datasite, Intralinks, or Ansarada, on live transactions.
- Strong knowledge of corporate governance documents, securities law, due diligence, and the ability to identify and explain ambiguous or inconsistent provisions.
- Excellent written and verbal communication skills, including the ability to articulate complex legal reasoning.
- Strong analytical reasoning, legal writing, contract review, and professional judgment.
- Experience with AmLaw 100 firms, top-tier venture or technology practices, or leading private equity or corporate development teams is highly valued.
- Exposure to AI-assisted legal review tools is a plus, but not required.
- Remote contract engagement.
- $80 to $100 per hour.
