Interim Corporate Paralegal

Major, Lindsey & Africa’s Interim Legal Talent group has an immediate need for an interim Corporate Paralegal to support Governance and Entity Management.

Overview : Our client’s Corporate Law Department/Global Legal Entities Team is seeking a Senior Specialist, Corporate Paralegal to join their Legal team. This position is an immediate temporary position to support the Legal Department which is engaged in significant corporate integration activity, and expanded cross-functional legal demands. You will own and drive these essential corporate governance functions, serving as a go-to resource for teams across the organization who depend on Legal to move quickly and accurately

Experience: The successful candidate will be able to operate independently and reflect the responsibilities below.

Location: This position is hybrid (three days in office), to be located in either Westchester County, NY, New York City, St. Louis, or Seattle.

Responsibilities Include:

• Maintain and update subsidiary records, corporate books, and entity management databases, including Teams, iManage, Workday and hCue.
• Assist with various corporate governance and compliance activities, including the drafting of corporate resolutions, annual meeting documentation and certifications
• Facilitate director/officer appointments, elections and resignations
• Handle document management, routine corporate filings, and related administrative tasks
• Coordinate banking signatory updates, account administration documentation and related KYC requirements
• Support cross-functional teams—including Finance, Tax, P&C, HR, Payroll, and Benefits—with corporate legal requests
• Manage the monthly organizational chart updates, and be able to respond to inquiries from internal clients and the auditors, knowing when to escalate as needed
• Coordination of Team meetings and agenda and follow up action items
• Provide general departmental support to ensure timely, high-quality legal services across the organization

Qualifications Include:

• Bachelor’s degree or paralegal certificate from an accredited institution
• 3+ years of corporate paralegal experience, preferably in an in-house legal department or corporate law firm
• Solid working knowledge of corporate governance, entity management, and compliance processes
• Strong organizational skills with the ability to manage multiple competing priorities in a fast-paced environment
• Excellent written and verbal communication skills, with the ability to work cross functionally across Finance, HR, Tax, and other teams
• High attention to detail and commitment to accuracy in all documentation
• Ability to work independently and proactively with minimal supervision, while knowing when to escalate
• Active Notary Public commission (strongly preferred, as the role frequently involves notarizing corporate documents)
• Ability to Identify process improvement for the Team – via the usage of AI
