About the Role
The Company is in search of a General Counsel to lead its legal function with a focus on securities offerings and corporate transactions. The successful candidate will be responsible for shaping the company's legal strategy, driving its securities offerings, and ensuring compliance with U.S. federal securities laws. This role is highly hands-on, requiring the individual to personally handle the majority of day-to-day legal work, including developing financial products, preparing offering materials, and overseeing regulatory compliance. The General Counsel will also be involved in structuring and executing corporate transactions, negotiating commercial agreements, and providing legal support across various business functions. Applicants for the General Counsel position at the company should have a J.D. with strong academic credentials and be admitted to a U.S. state bar in good standing. A background in securities, capital markets, M&A, funds, or general corporate law is strongly preferred, with at least 7 years of legal experience, including training at a nationally recognized law firm. The role requires a business-minded professional with exceptional attention to detail, analytical rigor, and excellent communication skills. The ideal candidate will be a proactive problem solver, capable of balancing legal and compliance considerations with commercial objectives, and will have a demonstrated facility with technology, including AI tools. The ability to work independently, manage a broad workstream, and build trust with internal business partners is essential.
