Corporate Associate Attorney

Direct Counsel is seeking a Corporate Associate to join a highly regarded boutique business law firm with a sophisticated transactional practice. This partnership-track opportunity is ideal for an attorney who thrives in a collaborative, entrepreneurial environment and is looking to work closely with experienced dealmakers on complex and high-value matters.

The firm’s Corporate Group maintains a dynamic practice representing clients across a broad range of industries, from emerging growth companies to established businesses, investors, and private funds. Attorneys in this group regularly handle sophisticated mergers and acquisitions, securities matters, corporate governance issues, commercial transactions, and strategic business counseling.

Key Responsibilities

• Advise clients on a wide range of corporate transactional matters
• Draft, review, and negotiate transaction documents for mergers, acquisitions, financings, and other strategic transactions
• Counsel emerging growth companies through various stages of development and financing
• Assist with securities law compliance and corporate governance matters
• Support private investment fund formation and related transactional work
• Handle general corporate and commercial counseling matters
• Collaborate closely with partners and clients in a team-oriented environment

Qualifications

• 2–5 years of substantive corporate transactional experience
• Strong background in M&A, general corporate matters, and securities law
• Excellent drafting, negotiation, and analytical skills
• Ability to manage multiple sophisticated matters in a fast-paced environment
• Strong academic credentials and effective communication skills
• California Bar admission preferred or required

Compensation

The anticipated base salary range for this position is $230,000 – $310,000 annually, depending on experience, qualifications, and other relevant factors.
