Capital Markets Counsel

A NYC investment bank is seeking a Capital Markets Counsel to join their team. In this role, you will provide legal support across the firm's capital markets activities, working closely with investment banking, sales and trading, and product teams. You will play a key role in structuring and documenting capital markets transactions while helping the firm navigate a complex and evolving regulatory landscape. Key Responsibilities Draft, review, and negotiate engagement letters, underwriting agreements, placement agent agreements, and related transaction documents. Advise on securities law matters, including registration requirements, exemptions, and disclosure obligations under the Securities Act of 1933 and the Securities Exchange Act of 1934. Support the structuring and execution of structured products transactions, including CLOs, CDOs, asset-backed securities, and other securitization vehicles. Provide legal counsel on leveraged finance transactions, including high-yield bond offerings, syndicated loans, and bridge financing arrangements. Collaborate with internal clients including investment bankers, traders, and structuring teams to deliver practical, business-oriented legal advice. Monitor and advise on regulatory developments affecting capital markets activities, including SEC, FINRA, and other applicable regulatory frameworks. Liaise with outside counsel and coordinate legal workstreams on complex, multi-jurisdictional transactions. Assist in the development and maintenance of standard form documents, templates, and internal legal policies. Manage multiple transactions simultaneously in a fast-paced, deadline-driven environment. Qualifications J.D. from an accredited law school and active bar admission in New York 1–3 years of experience at a law firm, with meaningful exposure to capital markets transactions. Substantive background in securities law, structured products, and/or leveraged finance. Experience drafting and negotiating engagement letters and transaction documentation.
