We are also a team actively reimagining how legal work gets done — embracing new tools and approaches to deliver better, faster results for the company we serve.Role Overview:We are seeking a proactive and detail-oriented paralegal to support the Corporate Transactions unit within the Office of the General Counsel in connection with corporate finance transactions, mergers and acquisitions, and general corporate matters. This role will play a key part in managing transaction processes, maintaining corporate records, and partnering with internal stakeholders across the organization. The right candidate will be energized by both the substance of the work and the opportunity to help shape how that work gets done — bringing curiosity, a willingness to question existing processes, and an interest in how technology can make legal teams more effective.What You’ll Do:As a member of the Corporate Transactions team, your responsibilities will include:Organizing and maintaining a virtual data room for ongoing multi-billion dollar financing program and managing related due diligence processes, including organizing internal document collection and interfacing with outside counselManaging documentation and closing deliverables for financing program transactions (approximately 15-20 per year)Assisting attorneys in preparing and finalizing updated materials for securities offeringsOverseeing execution of transaction documents, including managing signature processes and maintaining records of executed agreementsCoordinating submission of regulatory filings and reportsPreparing and maintaining transaction checklists and assisting with transaction closings and post-closing mattersMaintaining records of team transactionsPartnering with the head of Corporate Transactions to identify opportunities to improve and modernize how the team works — including evaluating legal technology tools, streamlining transaction workflows, and building more scalable processesWhat You’ll Bring:You will bring a growth mindset and openness to learning new concepts, strong inter-personal skills, a commitment to continuous improvement, and a willingness to embrace new technologies to advance legal and business objectives. The lack of specialized experience can be overcome by those possessing an innate curiosity and the ability to quickly learn and retain new concepts.Required Skills:Bachelor’s degree preferredStrong organizational and communication skillsHigh level of attention to detail and ability to manage confidential informationAbility to manage multiple concurrent workstreams and deadlines in a fast-paced transaction environmentProficiency in Microsoft Word and Adobe ProPreferred Skills:Experience with Microsoft ExcelRelevant corporate legal experienceInterest in or experience with legal technology, workflow automation, or document management toolsPay TransparencySalary Range: $59,000-$84,500Overtime eligible: NonexemptDiscretionary bonus eligible: YesSales bonus eligible: NoActual base salary will be determined based on several factors but not limited to individual’s experience, skills, qualifications, and job location. Additionally, employees are eligible for an annual discretionary bonus.
