Our company is looking for a Corporate Attorney to join our team.

Responsibilities:

  • Supervise outside counsel as required;
  • Deal with complex, significant matters that cut across legal and related areas;
  • Perform cross-functionally across organization to manage different projects and execution of new initiatives;
  • Support public company securities work (both pre-and post IPO);
  • Assist with Corporate disclosures and regulatory insurance filings;
  • Alert project managers to potential risks and issues of importance;
  • Identify risks along with propose alternative structures to reduce risks involved in prospective transactions;
  • Identify and implement best practices to ensure high quality, transaction documentation in a timely and appropriate manner;
  • Assist senior internal counsel with matters including legal research projects and in litigation preparation and support;
  • Respond to requests for legal input related to Requests for Proposal and due diligence requests from clients;
  • Advise various internal departments regarding contract terms and implications on business operations;
  • Review, draft, negotiate, analyze and revise various contracts including service contracts, non-disclosure agreements, and vendor agreements;
  • Interpret laws, rulings, and regulations for corporation;
  • Support Mergers & Acquisition work.

Requirements:

  • Ability to exercise discretion and good judgment in making decisions;
  • Understanding of intellectual property law preferred;
  • Proficiency in word processing and spreadsheet computer software applications;
  • Ability to establish relationships and rapport with all levels of personnel, executive management, peers, attorneys, vendors, clients, and members;
  • Ability to project a polished and professional demeanor and have the ability to handle confidential matters with utmost integrity;

  • Ability to manage multiple projects, work in fast-paced environment, and meet deadlines;
  • Florida Bar membership or eligibility for admission to Florida Bar;
  • Ivy League law school or magna cum laude;
  • Four (4) years of experience in sophisticated Mergers & Acquisitions;
  • JD degree from ABA accredited law school;
  • Five (5) years of experience in project development;
  • Seven (7) to ten (10) years of experience in corporate finance.
