Corporate Attorney Job Description Template
Our company is looking for a Corporate Attorney to join our team.
Responsibilities:
- Supervise outside counsel as required;
- Deal with complex, significant matters that cut across legal and related areas;
- Perform cross-functionally across organization to manage different projects and execution of new initiatives;
- Support public company securities work (both pre-and post IPO);
- Assist with Corporate disclosures and regulatory insurance filings;
- Alert project managers to potential risks and issues of importance;
- Identify risks along with propose alternative structures to reduce risks involved in prospective transactions;
- Identify and implement best practices to ensure high quality, transaction documentation in a timely and appropriate manner;
- Assist senior internal counsel with matters including legal research projects and in litigation preparation and support;
- Respond to requests for legal input related to Requests for Proposal and due diligence requests from clients;
- Advise various internal departments regarding contract terms and implications on business operations;
- Review, draft, negotiate, analyze and revise various contracts including service contracts, non-disclosure agreements, and vendor agreements;
- Interpret laws, rulings, and regulations for corporation;
- Support Mergers & Acquisition work.
Requirements:
- Ability to exercise discretion and good judgment in making decisions;
- Understanding of intellectual property law preferred;
- Proficiency in word processing and spreadsheet computer software applications;
- Ability to establish relationships and rapport with all levels of personnel, executive management, peers, attorneys, vendors, clients, and members;
- Ability to project a polished and professional demeanor and have the ability to handle confidential matters with utmost integrity;

- Ability to manage multiple projects, work in fast-paced environment, and meet deadlines;
- Florida Bar membership or eligibility for admission to Florida Bar;
- Ivy League law school or magna cum laude;
- Four (4) years of experience in sophisticated Mergers & Acquisitions;
- JD degree from ABA accredited law school;
- Five (5) years of experience in project development;
- Seven (7) to ten (10) years of experience in corporate finance.
