Our company is looking for a Corporate Counsel to join our team.

Responsibilities:

  • Ensure compliance with relevant legislation, regulations, and ethical standards that affect business activities;
  • Negotiate, draft and interpret contracts, assisting management in the negotiation of terms, minimizing risk, and protecting the company’s interests;
  • Collaborate with business teams to standardize contract forms and increase efficiency of deal execution;
  • Leading initiatives to improve Cloudera’s approach with our customers;
  • Working cross-functionally to develop commercial models (including defining and drafting the relevant terms and conditions);
  • Work collaboratively with Legal team and business clients;
  • Other duties as assigned;
  • Conduct legal research, analysis and benchmarking as needed;
  • Setting or influencing strategic policies and initiatives, including ensuring that contract terms are consistent with business objectives;
  • Use sound judgment in balancing legal risk against business needs and goals;
  • Being an advocate, internally and externally, for our unique open source business model;
  • Assist business clients with contract and other commercial disputes that may arise;
  • Work with outside counsel in connection with litigation and regulatory proceedings;
  • Provide support on credit and financial issues involving the company, its retailers and its vendors, including loan agreements;
  • Focus on licensing and distribution issues, governance matters and agreements for Ace’s international business.

Requirements:

  • Excellent judgment, integrity and ethics;
  • Passion to understand and apply lessons from the external business and legal environment;
  • Must be a lawyer qualified to practice in at least one U.S. state, preferably California, and have a JD degree from an ABA accredited law school;
  • Hardworking, enthusiastic person who thrives in a close knit team environment;
  • Sound risk assessment capabilities in an evolving regulatory environment;
  • Ability to work in a fast-paced and changing environment and multi-task/prioritize to meet deadlines;

  • 3+ years of corporate experience at a premier law firm;
  • J.D. with excellent academic credentials;
  • Ability to work well with diverse internal clients and external parties in a global company;
  • Significant prior work on corporate transactions, licensing and technology transactions experience;
  • Self-starter, capable of managing matters with minimal guidance;
  • Overall broad legal knowledge in areas such as corporate governance, HR, and real estate.
