Senior Counsel Job Description Template
Our company is looking for a Senior Counsel to join our team.
Responsibilities:
- Build relationships with internal business clients through a responsive, collaborative and solution oriented approach;
- Other duties as assigned;
- Moderate travel required;
- Draft, review and negotiate a broad range of commercial agreements;
- Counseling on the external legal environment relating to operating a Specialty business, with a clear understanding of industry practices;
- Debt and equity financing instruments, including credit facilities and similar agreements;
- Help with the creation and implementation of legal policies and protocols;
- Assist with various compliance investigations, as needed;
- Provide support and advice to human resources personnel in relation to the handling of various employment-related issues;
- Provide active and strategic advice to Airbnb’s Trust organization;
- Ability to work independently, prioritize workloads and communicate with all levels of the organization including senior management;
- External accounting and financial reporting, including annual, quarterly and current reports;
- Corporate governance, including drafting resolutions, managing Board logistics and subsidiary governance;
- Equity compensation plans and executive compensation documentation;
- Act as Trust liaison with payments, privacy and product legal teams.
Requirements:
- Self-starter, has a sense of urgency, team player, and calm under pressure;
- Ability to operate within a matrixed management environment;
- Ensure compliance with all applicable laws, regulations, and policies;
- Strategic and analytical thinking;
- Broad base of substantive law relating to technology companies;
- 5 – 10 years of “generalist” practice experience, preferably a mix of law-firm experience and in-house experience;
- Minimum 8 years of experience with a heavy emphasis on issues relevant to trust counseling;
- Member of California Bar or eligible to register as Registered In-House Counsel;
- Identifies and assesses legal risks and opportunities with the labor and employment area and advises accordingly;
- Demonstrates experience in IT transactional law, healthcare law (including HIPAA), M&A, corporate governance and healthcare IT accreditations;
- Educates Managers on legal matters, policies, and procedures;
- Demonstrates experience in general corporate matters;
- Good sense of humor, disdain for drama, and desire to get things done;
- Good communication (oral and written) and interpersonal skills within and across departments and externally; must be proactive;
- Ability to work effectively in a rapidly changing environment.
