Paralegals - REMOTE

The Paralegal - Corporate, under the supervision of attorneys, performs a range of substantive cases, matter or entity related duties. Prepares drafts of legal and other documents and correspondence for attorney review. Coordinates efforts between attorneys, clients, outside legal counsel, opposing legal counsel, other parties and outside vendors.

This position can sit in our Palo Alto, Atlanta, Boston, Chicago, Dallas, New York, or San Francisco office and offers a hybrid work schedule.

Performs and maintains capitalization tables as well as stock and options ledgers.

Direct experience with Carta, Pulley, and other related software.

Prepares drafts and files Section 16 filings.

Organizes, prepares and files a variety of corporate legal documents for transactions (Articles of Incorporation/Organization, Amendments, state qualifications, consents, merger documents, closing books, electronic closing sets, initial drafts or certificates, short‑form closing deliverables, and filing annual reports).

Prepares documents for transactions such as closing statements.

Organizes documents and closing books in connection with corporate transactions such as acquisitions and mergers.

Assists with basic private company transfer agent functions including stock issuance, stock transfers, stock option grants and maintenance of stock option plan records in corporate maintenance software.

Prepares closing volumes, including index, document assembly, binding and final distribution.

Manages data rooms and matter files.

Must have strong skills in Word, Excel and Outlook. Experience with legal software such as Relativity, LexisNexis, Westlaw or similar application required. Excellent verbal, written and interpersonal skills required to interact with staff, paralegals, attorneys and clients on a daily basis. Responsibilities will include assisting attorneys in your home office and in offices across the firm. High School diploma or GED.

Bachelor's Degree and/or a Paralegal certificate.

1 year of paralegal experience for individuals with a bachelor's degree and/or paralegal certificate. Individuals without a degree or certification require five years' legal support experience in the specific practice area.

Effectively communicate, verbally and in writing, with clients, lawyers, business professionals, and third parties.

Produce deliverables, answer phone calls, and reply to correspondence in an efficient and responsive manner.

Provide timely, accurate, and quality work product.

Comply with all firm policies and practices.

Engage in both physical and sedentary activity, such as (a) working at a computer for extended periods of time, including on-screen reading and typing; (b) participating in digital/virtual conference calls; (Perform all other duties, tasks or projects as assigned.

The firm’s expected hiring range for this position is $45.52 - $68.93 per hour depending on the candidate’s geographic market location. Non‑exempt positions will be paid on an hourly basis and paid overtime in accordance with applicable laws.
