Executive Compensation and Benefits Associate

Job Overview A law firm seeks an Executive Compensation and Benefits Associate with 3-6 years of experience to join their team in Washington, D.C. The role involves working within the Tax practice area, providing legal expertise in executive compensation and benefits. Duties Advise on executive compensation and equity incentive arrangements in M&A transactions. Design, draft, and administer equity incentive plans and related agreements. Provide guidance on relevant Code provisions, including Sections 83, 421-424, 409A, 280G, and 162(m). Offer day-to-day and transactional advice on retirement and welfare plans. Coordinate with corporate, tax, and securities teams for client interactions. Requirements 3-6 years of post-JD experience in relevant areas. Strong analytical and writing skills. Ability to work collaboratively in a team environment. Education Juris Doctor. Certifications Licensed to practice law and a member in good standing in the relevant jurisdiction. Skills Expertise in executive compensation and benefits law. Proficiency in drafting legal documents and agreements. Strong client interaction and coordination skills.
