Corporate Paralegal (Century City)

Established and respected law firm is seeking a Corporate Paralegal with corporate transactional experience to join its growing team. This is an excellent opportunity for a detail-oriented professional who can step in and contribute immediately.
Key Responsibilities
- Handle entity formations, foreign qualifications, mergers, acquisitions, conversions, and dissolutions
- Prepare corporate governance documents, including board and shareholder resolutions and minutes
- Maintain corporate records and assist with annual filings
- Support transactional matters, including due diligence, closings, closing binders, and post-closing deliverables
- Manage stock issuances, transfers, options, and capitalization records
- Prepare UCC filings, lien searches, and various regulatory filings
- Conduct legal and corporate research
Qualifications
- Bachelor's degree required
- 2+ years of corporate transactional paralegal experience
- Strong experience with entity formations and corporate governance
- Knowledge of Delaware and California corporate law requirements
- Experience supporting M&A, financing transactions, or securities matters is a plus
- Strong legal research, organizational, and communication skills
- Proficiency with Microsoft Office Suite, Adobe, and corporate record management systems
Position Details
- Schedule: Monday-Friday, 9:00 AM-6:00 PM
- Salary: $75,000-$85,000+ depending on experience
