Corporate Paralegal

A leading law firm is seeking an experienced Corporate Paralegal to join its Century City office. This role will support attorneys with corporate formations, governance, transactions, regulatory filings, and related legal matters. The ideal candidate has strong corporate paralegal experience, excellent organizational skills, and the ability to manage multiple priorities in a fast-paced legal environment. Responsibilities Prepare formation, organizational, and dissolution documents for corporations, nonprofits, LLCs, and partnerships. Draft corporate governance documents, including bylaws and operating agreements. Assist with corporate purchase and sale transactions and related documentation. Prepare stock, membership interest, and partnership interest assignments. Organize, review, and maintain due diligence materials. Coordinate annual corporate, regulatory, and tax filings. Prepare estate planning gifting documents, deeds, and property transfer documents. Conduct corporate and legal research as needed. Monitor Secretary of State requirements and communicate relevant updates. Maintain accurate documentation and ensure timely completion of assignments. Requirements 3+ years of Corporate Paralegal experience in a law firm or comparable legal environment. Four-year college degree or equivalent education and experience. ABA-approved Paralegal Certificate required. Strong knowledge of corporate formations, governance, and entity maintenance. Experience supporting corporate transactions and regulatory filings. Excellent drafting, research, proofreading, and organizational skills. Strong attention to detail and ability to manage multiple deadlines. Excellent communication skills and ability to work independently and collaboratively.
