Watts & Associates is working discreetly with a highly regarded Am Law 200 ranked national law firm seeking a 4th to 6th year Private Investment Funds and Fund Formation Managing Associate to join its San Francisco, California office. This is a 100 percent transactional role focused on private fund formation and investment management matters, supporting both sponsor side and investor side representations across a sophisticated and steady deal flow. The firm offers a collaborative, partner accessible environment with meaningful responsibility, strong drafting exposure, and a platform that regularly advises fund sponsors, institutional investors, and other repeat market participants. This position is expected to be in office five days per week. The Opportunity You will take a lead role on fund formation engagements, including drafting and negotiating limited partnership agreements, private placement memoranda, subscription materials, side letters, and advisory committee governance documents. The practice also advises on regulatory and structuring considerations, secondary transactions, co investment vehicles, and other investment management related work. Ideal Candidate Profile The firm is seeking a 4th to 6th year Private Investment Funds and Fund Formation Managing Associate with: 4 to 6 years of law firm experience in private fund formation and investment management Meaningful drafting and negotiation experience with limited partnership agreements, private placement memoranda, subscription documents, side letters, and advisory committee governance documents Active California Bar membership or eligibility for prompt admission in California Experience managing sponsor side and investor side engagements with substantial client responsibility Strong judgment, project management skills, and the ability to run multiple matters efficiently in a fast moving transactional practice Why This Opportunity Stands Out This is a partnership track opportunity offering direct partner mentorship, consistent hands on drafting, and the chance to become a go to associate on core fund documents while building durable client relationships.
