Senior Counsel - Treasury & Clearing

Job Description
- Draft, review, and negotiate legal documents for Fixed Income Clearing Sponsored Member Program; including the New York law-governed Master Repurchase Agreement and the New York law-governed FICC SMP Customer Agreement.
- Draft, review, and negotiate legal documents for the secured term loan business.
- Provide legal advice and guidance on related rules, regulations and applicable law.
- Advise business stakeholders on new potential new clearing relationships.
- Develop and maintain legal templates, negotiation playbooks, guidance notes, and governance materials.
- Work collaboratively, seeking guidance and input from colleagues throughout the organization. Partner with colleagues who also serve in Risk, Credit, and Compliance.
- Manage outside counsel both domestic and international.
- Support the agency securities lending, principal lending, and secured term loan products teams.
The Successful Applicant
- JD
- NY Bar admission
- 5+ years of experience in-house or at a top law firm handling repurchase transactions, central clearing, and capital markets transactions
- Experience with sponsored member clearing models
- Excellent experience drafting, reviewing, and negotiating trading documentation and related agreements.
- Strong working knowledge of laws and regulations in the field of securities finance and cleared repurchase transactions as well as broader regulatory and/or investment advisory experience.
