Corporate Legal Assistant

Job Description

We've been engaged by a top national law firm to identify a Corporate Real Estate Legal Assistant! This role will provide legal support to attorneys and real estate professionals involved in commercial real estate transactions, leasing, acquisitions, dispositions, financing, development projects, and corporate governance matters. Prepare, revise, proofread, and manage commercial real estate documents, including:
Purchase and sale agreements
Lease agreements and amendments
Easements and rights-of-way
Deeds and conveyance documents
Estoppel certificates
Closing statements
Title and survey review documents
Coordinate due diligence activities for acquisitions, dispositions, and development projects.
Assist with transaction closings by organizing closing binders, signature packages, and executed documents.
Track critical transaction dates, contingencies, deadlines, and post-closing obligations.
Communicate with title companies, lenders, brokers, surveyors, government agencies, and external counsel.
Corporate Legal Support
Draft routine corporate documents, resolutions, consents, and organizational records.
Maintain corporate entity records and legal files.
Assist with entity formation, annual filings, registrations, and compliance requirements.
Support corporate governance activities, including board and committee meeting preparation.
Maintain document management systems and electronic databases.
Administrative Responsibilities
Manage attorney calendars, meetings, travel arrangements, and deadlines.
Coordinate document execution and notarization processes.
Prepare correspondence and legal memoranda.
Organize and maintain physical and electronic records.
Monitor legal invoices and assist with matter budgeting and expense tracking.
