Attorney - Corporate M&A Transactions and Global Strategic and Sustainable Investments

Job Description

This position provides legal counsel on Corporate M&A and Global Strategic and Sustainable Investments (GSSI) across all transactions—including purchases, investments, sales, and wind‑downs—within the Global Banking and Global Markets businesses.

Responsibilities

• Analyze legal issues and implications on products, services, and regulatory matters related to the Global Banking and Global Markets businesses.
• Communicate clear, concise, actionable, and business‑informed legal advice, including to leadership.
• Interpret rulings, laws, and regulations from a compliance and business control standpoint.
• Draft, review, and negotiate complex legal documents such as engagement letters, debt agreements, offering documents, and legal opinions.
• Gather, assess, and evaluate information from various sources to make judgments or inferences.
• Support Corporate M&A and GSSI in company responses to government agency examinations, investigations, enforcement actions, private complaints, and litigation.
• Direct the work of outside legal counsel and coordinate other Legal staff and subject‑matter experts (IP/GIS, bank regulatory, HR, tax), while training and mentoring peers.

Required Qualifications

• Minimum of 7 years of experience as a practicing corporate and transactional attorney.
• Active license to practice law in at least one state or the District of Columbia.
• Extensive experience advising corporations on the structuring and documentation of complex transactions.
• Self‑starter capable of operating with limited oversight and interacting confidently with senior management.
• Experience advising on Corporate M&A, private equity, strategic investments, consortium transactions, or third‑party investment funds.
• Ability to address a diverse set of legal subject matters.
• Highly developed oral and written communication skills.
• Ability to work in a fast‑paced, demanding, and collaborative environment with many stakeholders.
• Confidence in risk‑managed decision making and judgment.

Desired Qualifications

• Substantial experience with a nationally‑recognized law firm or in‑house representing a significant financial institution.
• Familiarity with bank regulations such as Volcker issues, the Federal Reserve Control Rule, Regulation W, and related regulatory authority.
• Experience advising senior management or boards on corporate governance issues relating to Corporate M&A transactions and investments.
• Experience advising clients on complex M&A and investment matters.

Pay

Annualized salary: $175,000.00 – $259,700.00, offers based on experience, education, and skill set.

Discretionary incentive eligible: eligible to participate in the annual discretionary plan based on performance and contributions.
