- Handle business entity formations and ongoing corporate governance matters
- Draft, review, and negotiate purchase and sale agreements
- Prepare and negotiate commercial agreements, operating agreements, and client contracts
- Advise clients on transactional risk, contract strategy, and general business matters
- Assist with mergers, acquisitions, and other corporate transactions as needed
- Manage matters from intake through execution while maintaining strong client communication
- Collaborate with attorneys and support staff on sophisticated business transactions
- J.D. from an accredited law school and active California Bar membership
- 3-5+ years of transactional, corporate, or business law experience preferred
- Experience handling corporate formations, commercial contracts, and transactional agreements
- Strong drafting, negotiation, and analytical skills
- Ability to independently manage multiple matters in a fast-paced environment
- Client-focused mindset with strong communication and organizational abilities
- Experience with Clio, Microsoft Office, Google Workspace, or similar legal technology platforms preferred
