Executive Compensation & Benefits Associate (3-6y)

Accordingly, the total compensation package—base salary, bonus and benefits—for all lawyers at the firm is highly competitive with that of other major law firms. Our Tax practice is seeking an associate with three to six years of post‑JD experience to join our Washington, DC, Boston or New York office. Qualified Candidates Executive compensation and equity incentive arrangements in connection with public and private M&A transactions, spin offs, and other corporate transactions Design, drafting, and administration of equity incentive plans, time- and performance-based vesting award agreements, and executive employment, severance, and change in control agreements Advising on Sections 83, 421‑424, 409A, 280G, 162(m), and related Code provisions Day to day, and transactional‑specific, advice on tax qualified and nonqualified retirement plans, welfare plans, and related compliance matters, as applicable Client interaction and coordination with corporate, tax, and securities teams Qualifications Juris Doctor Attorney must be licensed to practice law and a member in good standing in the state/jurisdiction in which the position is based. Successful candidates will have strong analytical and writing skills, and a willingness to positively contribute to an exceptionally collaborative work environment.
