Corporate Attorney for AI System Evaluation

Role Overview

Create sophisticated evaluation tasks that reflect the judgment required in high-stakes corporate transactions, securities matters, and governance work. You will develop scenarios, reference materials, and assessment rubrics for AI systems across a US legal track, an International legal track, or both.

Key Responsibilities

• Design corporate law scenarios involving major M&A transactions, multi-party negotiations, regulatory review, corporate governance matters, and restructurings.
• Build tasks covering M&A and deal structuring, securities and capital markets, corporate governance, commercial contracts, and corporate restructuring.
• Develop scenarios that use tools common to significant transactions, including Westlaw, Lexis, virtual data rooms such as Intralinks and Datasite, contract lifecycle management platforms, and document automation systems.
• Apply deal structuring, due diligence, and regulatory filing analysis to the relevant jurisdictional track: US, including Delaware General Corporation Law, SEC rules, and the Model Business Corporation Act; or International, including the UK Companies Act 2006 and EU company law directives.
• Produce reference legal memoranda, transaction documents, and client- or regulator-facing narratives.
• Write rubrics that distinguish experienced corporate-law judgment from general academic or bar-exam-level knowledge.

Qualifications

• At least 5 years of experience as a corporate attorney or general counsel at a major law firm, investment bank, or corporation, such as Wachtell, Skadden, Cravath, Latham & Watkins, Kirkland & Ellis, Sullivan & Cromwell, or the in-house legal team of a large public company.
• Direct responsibility for M&A transactions, governance matters, or securities filings.
• Fluency with corporate law tools and methods, including practical knowledge of regulatory approvals such as SEC review, antitrust or HSR review, or an international equivalent, as well as board and shareholder oversight.
• A JD with bar admission, or an international equivalent such as Solicitor or Qualified Lawyer in England and Wales, is strongly preferred.
• Experience authoring rubrics, legal training curricula, or transaction documentation is a plus.

Compensation

Hourly compensation: $90 to $100 per hour.
